BFF notifies the execution and the completion of the shares’ buy-back programme

Milan, 25th October 2021 – BFF Bank S.p.A. (“BFF” or the “Bank”) announces that it had purchased, in the period between 18th October and 22nd October 2021, 394,051 ordinary treasury shares, equal to 0.2127% of the 185,267,073 issued shares, for a total amount – fees excluded – of Euro 3,062,346.98, in the context of the shares’ buy-back programme, whose launch was resolved by BFF’s Board of Directors on 28th September 2021[1], after the prescribed authorization by the Bank of Italy on 21st September 2021, and in execution of the resolution of BFF’s ordinary Shareholders’ Meeting of 25th March 2021 (the “Programme”).

Purchases were executed by the authorised intermediary Mediobanca S.p.A..

The aggregate of the daily buy-back transactions on Euronext Milan (former Mercato Telematico Azionario – MTA) managed by Borsa Italiana S.p.A. is reported below, and the detail of such transactions executed in the aforementioned dates is enclosed.

Following the above-mentioned purchases, and considering the treasury shares already in the portfolio, as of 22nd October 2021 the Bank holds, directly or through subsidiaries, 873,755 treasury shares, equal to 0.4716% of the issued shares.

The Programme, aimed at providing the Bank of a stock of financial instruments necessary to fulfil the obligations provided by the remuneration and incentive systems according to the BFF’s “Remuneration and incentive policy in favour of the members of the strategic supervisory, management and control bodies, and of the personnel of Banca Farmafactoring banking group” in force, has been, therefore, completed, since 750,000 BFF ordinary shares were purchased, the maximum number of shares to be purchased under the Programme.
